Vireo's Roll-Up: 265 Dispensaries and Counting

In eight days at the end of July, Vireo Growth agreed to buy pieces of a bankrupt MSO and then agreed to buy Planet 13 outright. Add the deals already pending, and Vireo expects to run roughly 265 dispensaries across 15 states. Eighteen months ago it was a small operator best known for Minnesota.

It is the fastest roll-up running in cannabis right now, and it's being financed almost entirely with paper rather than cash.

The July deals

July 20: the Cannabist carve-up. Vireo agreed to acquire assets from The Cannabist Company for up to $35 million, structured as up to $18.75 million cash at closing and up to $16.25 million in seller notes. The package runs to 25 dispensaries plus a cultivation and a production asset, closing in stages through 2026 and into 2027. Cannabist filed for CCAA protection in Ontario on March 24 and Chapter 15 in Delaware a day later, and the estate is being sold for parts: three New Jersey stores go to Vireo while two Vineland cultivation sites close on October 11, costing 86 jobs.

July 27: Planet 13. An all-stock deal at 0.015383618 Vireo subordinate voting shares per Planet 13 share, a 24% premium to Planet 13's July 24 close and 16.6% over its 20-day VWAP. It brings 36 dispensaries: the Las Vegas superstore and one more Nevada location, about 33 in Florida, and one in Waukegan, Illinois. Three cultivation and production assets come with it, along with a distribution license and a consumption lounge license.

Those follow the 50/50 California joint venture with Glass House Brands announced in April, which folds Vireo's twelve California stores and the Eaze delivery business in with Glass House's eleven, backed by a preferential supply agreement. Vireo holds an option to buy out Glass House's half starting five years after closing.

Why the buying is cheap right now

Cannabist is in bankruptcy. Planet 13 sold at a premium to a beaten-down price. This is distressed-cycle acquiring, and it is happening while national license counts fall for a seventh straight quarter. Operators who overbuilt in 2021 and 2022 are handing assets to whoever still has currency, and Vireo's currency is its stock.

The pattern is worth naming because it will repeat. Every quarter of price compression produces another seller who cannot refinance, and the buyers are a short list.

What consolidation does to an account list

For anyone selling into dispensaries, a roll-up is a contact-integrity problem before it's anything else. Four things break at once.

The buyer's name changes before the sign does. A Planet 13 store in Florida will keep its branding through a transition that runs into 2027, while purchasing authority moves toward Vireo. Selling to the local GM you have known for two years may now mean selling to a category buyer in another state.

Deals close in stages. The Cannabist assets transfer market by market over more than a year. There is no single date after which your records are correct, which means a list refreshed once a quarter will be wrong somewhere in the middle of every quarter.

Some accounts disappear entirely. The Vineland closures are 86 people and two facilities gone in October. Bankruptcy estates shed assets that nobody buys.

Consolidated buyers buy differently. A 265-store operator negotiates master agreements, standardizes POS and packaging, and cuts vendors that only serve one state. Losing an account to consolidation usually happens quietly, at a procurement review you were not invited to.
